Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Lukeware (“we”, “us”, or “our”) products and services, including ReviewSpace and any other products operated under the lukeware.com domain (“Services”). These Terms are governed by the laws of New Zealand.
By creating an account or using any of our Services, you agree to be bound by these Terms. If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.
1. Accounts and Access
1.1 Eligibility
You must be at least 18 years old to use our Services.
1.2 Your account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorised access.
1.3 Accurate information
You agree to provide accurate, current, and complete information when creating your account and to keep this information up to date.
2. Use of Services
2.1 Permitted use
Our Services are provided for lawful business purposes. You may use ReviewSpace to manage your own Google Business Profile reviews, send review requests to your genuine customers, and display your reviews on your own website.
2.2 Prohibited use
- Violate any applicable law, regulation, or third-party rights
- Solicit, generate, or post fake reviews on Google or any other platform
- Harass, threaten, or intimidate customers in connection with review requests
- Send unsolicited bulk communications (spam) to customers
- Access or manage reviews on behalf of a business you do not own or are not authorised to manage
- Interfere with or disrupt the integrity or performance of our Services
- Attempt to gain unauthorised access to our systems or another user’s account
- Reverse engineer, decompile, or extract source code from our Services
- Resell or sublicense our Services without our written consent
- Violate Google Business Profile API policies
2.3 Google Business Profile compliance
ReviewSpace integrates with the Google Business Profile API. You agree to comply with all Google Business Profile Terms of Service and Google’s policies regarding reviews. You are solely responsible for the content of any review replies you post through our platform.
2.4 Review requests and customer contact
When using our review request features, you confirm that you have a legitimate existing business relationship with each customer you contact and that you comply with applicable anti-spam and electronic messaging laws in your jurisdiction (including the New Zealand Unsolicited Electronic Messages Act 2007, the Australian Spam Act 2003, the US CAN-SPAM Act, or equivalent legislation).
3. Subscriptions and Billing
3.1 Plans and fees
Pricing is displayed on our pricing pages in your local currency. We support USD (default for most countries), NZD (New Zealand), and AUD (Australia). Applicable taxes (such as GST) are calculated and collected automatically by Stripe Tax based on your location. We reserve the right to change pricing with 30 days notice to existing subscribers.
3.2 Billing and payment
Subscriptions are billed monthly or annually in advance via Stripe in the currency shown at the time of purchase. All fees are non-refundable except as required by applicable consumer protection law in your jurisdiction.
3.3 Free trials
At the end of a free trial, your subscription will automatically continue unless you cancel before the trial ends.
3.4 Cancellation
You may cancel at any time through your account settings. Cancellation takes effect at the end of your current billing period.
4. Content and Intellectual Property
4.1 Your content
You retain ownership of all content you create through our Services. By using our Services, you grant Lukeware a limited licence to use, store, and process your content solely to provide and improve the Services.
4.2 Our intellectual property
All software, designs, trademarks, and content created by Lukeware are owned by us or our licensors.
4.3 AI-generated content
You are responsible for reviewing, editing, and approving any AI-generated draft reply before it is posted. We are not liable for any consequences arising from posting AI-generated content without your review.
5. Privacy
Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
6. Availability and Modifications
We may modify, add, or remove features at any time with reasonable notice for material changes. Our Services rely on third-party APIs including the Google Business Profile API. We are not responsible for changes to or unavailability of third-party services.
7. Disclaimers and Limitation of Liability
7.1 No warranty
Our Services are provided “as is” without warranty of any kind to the extent permitted by law.
7.2 Consumer guarantees
Nothing in these Terms limits any rights you have under applicable consumer protection laws in your jurisdiction, including the New Zealand Consumer Guarantees Act 1993, the Fair Trading Act 1986, or the Australian Consumer Law.
7.3 Limitation of liability
To the maximum extent permitted by law, our total liability is limited to the amount you paid us in the 3 months prior to the claim. We are not liable for indirect, incidental, or consequential damages.
8. Termination
You may close your account at any time. We may suspend or terminate your access if you breach these Terms, engage in fraudulent activity, or we are required to do so by law or by Google’s API policies.
9. Governing Law and Disputes
These Terms are governed by the laws of New Zealand. Any dispute will be subject to the exclusive jurisdiction of the New Zealand courts.
10. Changes to These Terms
We will notify you of material changes by email and by updating the “Last updated” date. Continued use constitutes acceptance of the revised Terms.
